Residence Through a Montenegrin Company: What a DOO Actually Costs You in 2026

"A company for one euro, and the company gets you residence." Both halves are true. What is missing is the twelve months in between: the 5,000 euro activity filter, the bank account wait, payroll, and two separate addresses. The first-year ledger, line by line.

The pitch arrives in the same words whether it comes from a relocation forum or an agent's Instagram: a Montenegrin company costs one euro to found, and the company gets you a residence permit. Neither half is false. What the pitch leaves out is the twelve months that sit between them. We have tried to write those twelve months as a ledger: which cost lands when, which step takes three days on paper and two months on the calendar, and which condition is new in 2026.

Part of the figures come from statute, part from practice in Budva. The practice side is drawn from RoNa Legal's files; on the statute side, wherever we cite an article number we read the text ourselves.

Three working days on paper, two months on the calendar

Registration itself really is fast. Under the registration regime in force since 1 January 2026, the Central Registry (CRPS) must decide on a complete file within three working days, and the registration decision carries the tax number (PIB) with it. The company seal is gone; minimum capital is still one euro. The fee schedule was rewritten on the same date, so ignore any pre-2025 breakdown you find online and check the tariff valid on the day you file. What stretches the calendar is the bank. A DOO cannot deal with the tax office, run payroll or invoice a client without a local euro IBAN. Wise and Revolut Business do not accept Montenegrin companies, and a Payoneer account is not recognised by the Poreska uprava for VAT or payroll. Local banks have been reading files slowly since the 2023 anti-money-laundering reforms; two to six weeks depending on the bank, and several now insist on an in-person meeting at the branch. Our own addition is short: a founder who arrives without a business plan, a client contract or letter of intent, and an office lease turns those two months into three.

The permit is issued to the director, not to the company

This is the second common mistake. Montenegro has no category called "residence through a company". What exists is the single permit (jedinstvena dozvola, combining residence and work) issued to the company's executive director (izvršni direktor). Being a shareholder on its own confers nothing. The applicant must hold at least 51% of the company and appear in the registry as its executive director.

Structure the ownership accordingly. Three founders with equal shares cannot all obtain residence this way; at most one holds 51%, the others either open separate files as employees or come in through family reunification. The 5,000 euro filter is an activity test, not a fee

Here is the real 2026 change. Under the amendment to the Law on Foreigners in force since 17 January 2026 (Official Gazette 3/2026, Article 70 paragraph 4), the director's permit can only be maintained if the company has paid at least 5,000 euros a year in tax and social security contributions. It is not a one-off charge; it is proven at every renewal with a tax clearance certificate for both the company and the person.

In practice that means a regular salary for the director. Payslips, income tax and pension and health contributions go out every month; a company whose year-end total falls short of 5,000 euros leaves its director with nothing to renew. The "found it, leave it empty, keep the permit" model closed in 2026. Nationals of EU member states and of Iceland, Liechtenstein, Norway and Switzerland are exempt under paragraph 8 of the same article; everyone else is not.

One more detail: there is no grace period. The transitional provisions in Articles 216 to 223 cover only applications filed under the old rules and not yet decided. A permit obtained in 2025 meets the new condition at its first 2026 renewal.

The company's address and the director's address are two files

The company needs a registered seat (sjedište). In Budva a basic address service starts around 50 euros a month; a full package with a physical office reaches 280. But the residence file separately requires the director's own housing: a title deed, a lease, or a written statement from a host. That address also has to be registered with the police (prijava boravišta); without registration the file cannot be opened.

A virtual office address does not double as the director's housing proof. Files that try to cover both with a single contract come back. We compared buying and renting from the residence file's point of view in an earlier article; for someone on the company route a lease is usually enough, because the property is not the legal basis of the application. Still, a fair number of directors end up browsing the homes for sale on Fijaka around Budva and Bar, because a landlord who refuses to sign a written lease can turn a purchase into the shortcut.

The first-year ledger

The bands below are for a simple service company at Budva scale. Manufacturing, construction and licensed activities add lines.

Corporate income tax runs in brackets of 9, 12 and 15 percent (9 percent up to 100,000 euros of profit). Distributing profit adds a 15 percent withholding on dividends, so the two layers together put the "9 percent country" at roughly 22 percent in practice. A company whose turnover exceeds 30,000 euros in the last twelve months must register for VAT; the standard rate is 21 percent. Renewal calendar and the absence limit

The permit runs for one year. Renewal is filed no earlier than 60 and no later than 30 days before expiry; filings inside the 30-day window are mostly refused and the process restarts from zero. The renewal file carries tax clearance certificates for the person and the company.

During the year you may not stay abroad more than 30 consecutive days, or more than 90 days in total without notifying the police in advance. Cross the line and the permit is cancelled; more importantly, the five-year clock towards permanent residence (stalni boravak) resets. Years spent as a company director count fully towards those five years, which is a long-term advantage of this route, given that years on a property-based permit do not count at all. From 1 November 2026 several nationalities, Turkey, Russia, China, Saudi Arabia and Belarus among them, need a visa to enter Montenegro. Holders of a valid residence card are unaffected; the card, with the passport, is an entry document. A founder who has registered the company but not yet obtained the card will need a visa for every entry after November.

Who it makes sense for, and who it does not

Someone who will actually see clients, issue invoices and perhaps employ a person or two in Montenegro fits this route; the 5,000 euro threshold is simply the natural overhead of a working company. A developer who wants to keep a remote job and live on the Adriatic usually does not need a DOO; the digital nomad permit is a different article. A property owner who only wants residence sometimes turns to a company because the property falls short of the 150,000 euro tax-assessed threshold; in that case the whole ledger above lands on top of the property.
