Car sale contract for Montenegro: free template

In Montenegro a used car becomes the buyer's on handover, and the written contract is what the car is registered with and what the 5% used-vehicle tax is calculated from. This template follows the Law on Obligations: price, handover, known defects and accidents, liability for hidden defects (8 days to report, 6 months from handover), pledges and the tax. You sign the Montenegrin text; the translation is there to help you understand it. The buyer files the tax request within 15 days.

How to use it, step by step

  1. 1Before paying, compare the chassis number on the car with the registration certificate and search the Pledge Register by that number; the search is free.
  2. 2Fill in the blanks, list the known defects and accidents, inspect the car together and write any objections into the contract.
  3. 3Have both signatures certified by a notary, a court or the municipal certification office. A notary charges 3.50 € plus VAT per signature on each copy. Certification is the safest proof of who signed and when.
  4. 4Hand over the car with the registration certificate, the insurance policy and the keys, and write the date and hour into the contract: ownership passes on handover.
  5. 5Within 15 days the buyer files the request for the 5% used-vehicle tax with the tax authority; the decision follows within 15 days and the tax is paid within 10 days of it.
  6. 6The buyer registers the car with a technical inspection no older than 30 days, insurance and proof the tax is paid. The seller keeps a copy of the contract and tells the insurer.

Član 1
Predmet ugovora

  1. (1)Prodavac prodaje, a kupac kupuje motorno vozilo: marka ______, model ______, vrsta vozila ______, godina proizvodnje ______, broj šasije (VIN) ______, broj motora ______, boja ______, registarska oznaka ______, broj saobraćajne dozvole ______, stanje kilometar-sata ______ km (u daljem tekstu: vozilo).
  2. (2)Prodavac se obavezuje da na kupca prenese pravo svojine na vozilu i da mu ga u tu svrhu preda, a kupac se obavezuje da plati cijenu i preuzme vozilo.

Član 2
Cijena i plaćanje

  1. (1)Cijena vozila iznosi ______ € (slovima: ______ eura) i odgovara tržišnoj vrijednosti vozila u trenutku zaključenja ugovora.
  2. (2)Kupac plaća cijenu (zaokružiti): a) u cjelosti prilikom potpisivanja ugovora; b) iznos od ______ € prilikom potpisivanja ugovora, a ostatak od ______ € najkasnije do ______; na račun prodavca broj ______ kod ______ ili u gotovini uz pisanu potvrdu.
  3. (3)Na iznos koji nije plaćen u roku kupac duguje zakonsku zateznu kamatu. Prodavac potpisom ovog ugovora potvrđuje da je primio iznos koji je plaćen prilikom potpisivanja.

Član 3
Predaja vozila, svojina i rizik

  1. (1)Prodavac predaje vozilo kupcu dana ______ u ______ časova, u ______ (mjesto predaje).
  2. (2)Uz vozilo prodavac predaje kupcu saobraćajnu dozvolu, polisu obaveznog osiguranja, servisnu knjižicu i druge isprave o vozilu koje posjeduje, ______ ključa i sljedeću opremu: ______.
  3. (3)Predajom vozila na kupca prelaze pravo svojine i rizik slučajne propasti ili oštećenja vozila. Ako cijena nije plaćena u cjelosti prilikom potpisivanja, vozilo se predaje (zaokružiti): a) prilikom potpisivanja ugovora; b) tek kad cijena bude plaćena u cjelosti.

Član 4
Stanje vozila i materijalni nedostaci

  1. (1)Prodavac izjavljuje: a) da su mu poznati sljedeći nedostaci i oštećenja vozila (ako ih nema, upisati: nema): ______; b) da je vozilo učestvovalo u sljedećim saobraćajnim nezgodama (ako nije, upisati: nije): ______; c) da, prema njegovom saznanju, stanje kilometar-sata odgovara stvarno pređenim kilometrima.
  2. (2)Kupac je vozilo pregledao prije potpisivanja ugovora, u prisustvu prodavca, i preuzima ga u stanju u kakvom se nalazi u trenutku predaje, uz sljedeće primjedbe na vidljive nedostatke: ______.
  3. (3)Za skrivene nedostatke prodavac odgovara (zaokružiti): a) u skladu sa zakonom: kupac obavještava prodavca o skrivenom nedostatku u roku od 8 dana od njegovog otkrivanja, a prodavac ne odgovara za nedostatke koji se pokažu po isteku 6 mjeseci od predaje vozila; b) za nedostatke koji se pokažu u roku od ______ mjeseci od predaje vozila; c) ne odgovara: vozilo se prodaje u viđenom stanju i odgovornost prodavca za materijalne nedostatke se isključuje.
  4. (4)Ograničenje ili isključenje odgovornosti iz stava 3 ovog člana nema dejstvo za nedostatke koje je prodavac znao, a nije ih saopštio kupcu.

Član 5
Prava trećih lica

  1. (1)Prodavac izjavljuje da je jedini vlasnik vozila i da na vozilu ne postoji zaloga, lizing, zabrana raspolaganja niti drugo pravo trećeg lica.
  2. (2)Ako treće lice istakne pravo na vozilu o kojem kupac nije bio obaviješten, kupac o tome obavještava prodavca i poziva ga da vozilo oslobodi tog prava u primjerenom roku; ako prodavac to ne učini, kupac može raskinuti ugovor ili zahtijevati sniženje cijene, kao i naknadu štete, u skladu sa zakonom.

Član 6
Porez i troškovi

  1. (1)Porez na promet upotrebljavanih motornih vozila plaća kupac, u skladu sa zakonom. Kupac podnosi zahtjev za utvrđivanje poreza organu uprave nadležnom za poslove poreza u roku od 15 dana od kupovine, uz primjerak ovog ugovora.
  2. (2)Troškove ovjere potpisa snosi (zaokružiti): a) kupac; b) prodavac; c) obje strane na jednake djelove.
  3. (3)Troškove tehničkog pregleda, registracije i osiguranja vozila nakon predaje snosi kupac.

Član 7
Registracija i obaveze nakon predaje

  1. (1)Kupac se obavezuje da vozilo registruje na svoje ime kod Ministarstva unutrašnjih poslova nakon plaćanja poreza, a najkasnije u roku od ______ dana od predaje vozila.
  2. (2)Do registracije vozila na ime kupca, kupac odgovara prodavcu za novčane kazne, putarine, troškove parkiranja i štete nastale korišćenjem vozila od trenutka predaje.
  3. (3)Polisa obaveznog osiguranja prelazi na kupca do isteka tekućeg perioda osiguranja, u skladu sa zakonom, a prodavac o prodaji obavještava osiguravača.

Član 8
Završne odredbe

  1. (1)Na odnose koji nisu uređeni ovim ugovorom primjenjuje se Zakon o obligacionim odnosima.
  2. (2)Potpisi ugovornih strana ovjeravaju se kod notara ili drugog organa nadležnog za ovjeru.
  3. (3)Ugovorne strane će sporove iz ovog ugovora nastojati da riješe sporazumno; u suprotnom spor rješava nadležni sud u ______.
  4. (4)Ugovor je sačinjen u ______ istovjetnih primjeraka, od kojih svaka strana zadržava ______.
  5. (5)Ako je ugovor sačinjen i na drugom jeziku, u slučaju razlike mjerodavan je tekst na crnogorskom jeziku.

2. ______ (full name), personal ID number or passport number ______, with residence or stay in ______, street ______ number ______ (hereinafter: the buyer).

Article 1
Subject of the agreement

  1. (1)The seller sells and the buyer buys the motor vehicle: make ______, model ______, vehicle type ______, year of manufacture ______, chassis number (VIN) ______, engine number ______, colour ______, registration number ______, registration certificate number ______, odometer reading ______ km (hereinafter: the vehicle).
  2. (2)The seller undertakes to transfer ownership of the vehicle to the buyer and to hand it over for that purpose, and the buyer undertakes to pay the price and take over the vehicle.

Article 2
Price and payment

  1. (1)The price of the vehicle is ______ € (in words: ______ euros) and corresponds to the market value of the vehicle at the time the agreement is concluded.
  2. (2)The buyer pays the price (circle one): a) in full on signing the agreement; b) the amount of ______ € on signing the agreement and the remaining ______ € no later than ______; to the seller's account number ______ at ______ or in cash against a written receipt.
  3. (3)The buyer owes statutory default interest on any amount not paid on time. By signing this agreement the seller confirms receipt of the amount paid on signing.

Article 3
Handover, ownership and risk

  1. (1)The seller hands the vehicle over to the buyer on ______ at ______ hours, at ______ (place of handover).
  2. (2)Together with the vehicle the seller hands over to the buyer the registration certificate, the compulsory insurance policy, the service book and the other vehicle documents in the seller's possession, ______ keys and the following equipment: ______.
  3. (3)On handover of the vehicle, ownership and the risk of accidental loss of or damage to the vehicle pass to the buyer. If the price is not paid in full on signing, the vehicle is handed over (circle one): a) on signing the agreement; b) only once the price has been paid in full.

Article 4
Condition of the vehicle and material defects

  1. (1)The seller declares: a) that the seller knows of the following defects and damage to the vehicle (if there are none, write: none): ______; b) that the vehicle has been involved in the following road accidents (if it has not, write: none): ______; c) that, to the seller's knowledge, the odometer reading corresponds to the kilometres actually driven.
  2. (2)The buyer inspected the vehicle before signing the agreement, in the presence of the seller, and takes it over in the condition it is in at the moment of handover, with the following objections to visible defects: ______.
  3. (3)For hidden defects the seller is liable (circle one): a) in accordance with the law: the buyer notifies the seller of a hidden defect within 8 days of discovering it, and the seller is not liable for defects that appear after 6 months from the handover of the vehicle; b) for defects that appear within ______ months of the handover of the vehicle; c) not at all: the vehicle is sold as seen and the seller's liability for material defects is excluded.
  4. (4)A limitation or exclusion of liability under paragraph 3 of this article has no effect for defects the seller knew of and did not disclose to the buyer.

Article 5
Third-party rights

  1. (1)The seller declares that the seller is the sole owner of the vehicle and that there is no pledge, leasing, prohibition on disposal or other third-party right over the vehicle.
  2. (2)If a third party claims a right over the vehicle of which the buyer was not informed, the buyer notifies the seller and calls on the seller to free the vehicle from that right within a reasonable time; if the seller does not do so, the buyer may terminate the agreement or demand a price reduction, together with damages, in accordance with the law.

Article 6
Tax and costs

  1. (1)The tax on sales of used motor vehicles is paid by the buyer, in accordance with the law. The buyer files the request for assessment of the tax with the administrative authority responsible for taxes within 15 days of the purchase, together with a copy of this agreement.
  2. (2)The cost of certifying the signatures is borne by (circle one): a) the buyer; b) the seller; c) both parties in equal shares.
  3. (3)The costs of technical inspection, registration and insurance of the vehicle after handover are borne by the buyer.

Article 7
Registration and obligations after handover

  1. (1)The buyer undertakes to register the vehicle in the buyer's name with the Ministry of the Interior after paying the tax, and no later than ______ days after the handover of the vehicle.
  2. (2)Until the vehicle is registered in the buyer's name, the buyer is liable to the seller for fines, road tolls, parking charges and damage arising from use of the vehicle from the moment of handover.
  3. (3)The compulsory insurance policy passes to the buyer until the end of the current insurance period, in accordance with the law, and the seller notifies the insurer of the sale.

Article 8
Final provisions

  1. (1)Matters not regulated by this agreement are governed by the Law on Obligations.
  2. (2)The signatures of the parties are certified by a notary or another authority competent for certification.
  3. (3)The parties will try to settle disputes under this agreement amicably; otherwise the dispute is decided by the competent court in ______.
  4. (4)The agreement is made in ______ identical copies, of which each party keeps ______.
  5. (5)If the agreement is also made in another language, the Montenegrin text prevails in case of any difference.

Frequently asked questions

Does a car sale contract in Montenegro have to be certified?
The law prescribes no form for it, but the written contract is the proof of ownership at registration and the basis for the 5% tax. Certifying the signatures costs 3.50 € plus VAT per signature at a notary and is the safest option.
Who pays the tax when a used car is sold?
The buyer: 5% of the market value, so 400 € for a car worth 8,000 €. The request goes to the tax authority within 15 days of the purchase, and without proof of payment the car cannot be registered.
When does the buyer become the owner?
On handover of the car, not on registration (Law on Property Relations, article 85). Until registration the seller is still in the records, so the contract makes the buyer liable for fines and tolls from the moment of handover.
Is a sold-as-seen clause valid?
Yes, the parties can limit or exclude liability for defects. The clause has no effect for defects the seller knew of and did not disclose (Law on Obligations, article 494).
How long is the seller liable for hidden defects?
The buyer notifies the seller within 8 days of discovering a hidden defect, and the seller is not liable for defects that appear more than 6 months after handover, unless the contract sets a longer period. The rights lapse 1 year after the notice.
